Terms of Use

1. These terms and who they bind

These Terms of Use ("Terms") govern your use of benedictgroup.com, the client portal, the AI assistant, and any content, documentation, films or materials we make available online (together, the "Site"). The Site is operated by Benedict Group, Inc., a Connecticut corporation ("Benedict Group", "we", "us"). By using the Site you agree to these Terms and to our Privacy Policy. If you use the Site on behalf of an organization, you confirm that you are authorized to bind that organization, and "you" includes it. If you do not agree, do not use the Site.

2. Your signed agreement comes first

Our products (LOANS! For .Net, Benedict Servicing, the Portal and the API) are licensed under a signed written agreement between Benedict Group and the client. These Terms do not change that agreement. If these Terms and a signed agreement conflict, the signed agreement governs the product and these Terms govern the Site.

3. Information on the Site

The Site is for general information. Nothing on it is an offer. Prices, plans, editions, feature lists and comparisons are indicative, may change without notice, and are binding only when they appear in a signed agreement. Statements about our roadmap, future releases or future features are plans, not commitments, and may change or be withdrawn. Nothing on the Site is legal, accounting, regulatory or financial advice. Names of other companies and products belong to their owners; comparisons with them reflect our opinion, based on public information at the time of writing.

4. Invitation-only pages

Some pages open only with an invitation code. The content on those pages, including pricing, plans and coverage detail, is confidential and provided for the invited organization's own evaluation. You may not share the code or the content outside your organization. We may withdraw access to those pages at any time.

5. Accounts

When an account is created for you, you must keep your sign-in details secret, keep your details accurate, and tell us promptly if you suspect that your account has been misused. You are responsible for everything done through your account. Your organization's administrators manage who at your organization has access. We may suspend or close any account at any time, with or without notice, for a breach of these Terms, a security risk, the end of the relationship with your organization, or any other reason we consider appropriate.

6. Acceptable use

You may not:

• use the Site for anything unlawful, or in a way that harms Benedict Group, our clients or anyone else;
• interfere with the Site or its security, or probe, scan or test its security without our written permission;
• try to reach any part of the Site, any account or any information that is not meant for you;
• use crawlers, scrapers, bots or other automated means to access the Site, except for search engines and AI assistants that index the public pages in accordance with our robots.txt file;
• copy, collect or use our content or documentation to train a machine-learning or AI model, to build a dataset, or to build or support a product that competes with ours;
• reverse engineer, decompile or try to extract the source of any software made available through the Site;
• pretend to be someone else, send unsolicited messages through the Site, upload malicious code, or remove any copyright or proprietary notice;
• place an unreasonable load on the Site.

7. AI assistant

We may make an AI assistant available to eligible clients, and we may change, limit, meter, charge for or withdraw it at any time. Its answers are generated automatically from our documentation and may be incomplete, out of date or wrong. They are not advice, not a statement about how your installed software behaves, and not a warranty. Verify an answer before you act on it. Your questions and the answers are recorded with your account and may be reviewed by our staff. Do not enter confidential, personal or borrower-identifying information. Do not use the assistant to extract our documentation at scale or to build or support a competing product. Usage may be metered and charged as your agreement provides.

8. Our content and trademarks

The Site and everything on it, including software, documentation, text, designs, graphics, films, screen images and logos, belong to Benedict Group or our licensors and are protected by copyright, trademark and trade-secret law. We give you a limited, revocable, non-transferable permission to view and use the Site to evaluate and use our products. No other right is granted. Benedict Group, Benedict Servicing, LOANS! For .Net and our logos are our trademarks; do not use them without our written permission.

9. What you send us

When you send us a demo request, a message, a question, a file or feedback, you confirm that you have the right to do so and that it does not infringe anyone's rights. Any suggestion, idea or feedback you give us about our products or the Site may be used by us freely and forever, without payment, credit or any obligation to you, and sending it does not create a confidential relationship.

10. Other websites and services

The Site may link to websites and services we do not control. We do not endorse them and are not responsible for them.

11. Changes to the Site

We may change, suspend or discontinue any part of the Site at any time, without notice and without liability to you.

12. No warranties

The Site is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and that the Site will be secure, error-free or uninterrupted.

13. Limit on our liability

To the fullest extent the law allows, Benedict Group will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data or lost business, arising from or relating to the Site, however caused. Our total liability for all claims relating to the Site will not exceed one hundred dollars ($100). Our liability for a licensed product is governed solely by the signed agreement for that product. Nothing in these Terms limits liability that cannot be limited by law.

14. Your responsibility to us

You will defend, indemnify and hold harmless Benedict Group and its officers, employees and agents from any claim, loss, liability, cost or expense, including reasonable attorneys' fees, arising from your use of the Site, anything you send us, your breach of these Terms, or your violation of any law or of anyone's rights.

15. Governing law and disputes

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-law rules. Any dispute relating to the Site or these Terms will be brought exclusively in the state or federal courts located in North Carolina, and you consent to their jurisdiction. Any claim relating to the Site must be brought within one year after it arises or it is barred. We may seek an injunction in any court to protect our intellectual property or confidential information.

16. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Site. If any part is found unenforceable, the rest remains in force. Our not enforcing a term is not a waiver of it. We may assign these Terms, including in a sale, merger or reorganization; you may not assign them. There are no third-party beneficiaries. We may give you notice by email to the address on your account or by posting on the Site, and you agree that we may communicate with you electronically.

17. Changes to these Terms

We may change these Terms. We post the new version here with its date, and your continued use of the Site after that date means you accept it. If a change materially affects portal users, we will tell them.
